Frequently asked Questions about the Board of Trustees:
Who is eligible to serve on the Board?
Anyone who understands the role of the Board and the structural governance of a Parish Day school is eligible. The Nomination and Evaluation Committee is responsible for soliciting candidates and recommending election of new Trustees by the Board and ultimate approval by the Vestry of the Church. The nominees for the Board are asked to prayerfully consider their service in light of the affirmation of faith as developed by the Board for the Head and Faculty. At all times, two thirds of the voting members are communicants of the Church of St. Clement.
How many Trustees serve and for how long?
The Board consists of no less than ten (10) or more than sixteen (16) regularly constituted voting members. In addition to the sixteen (16) regularly constituted voting members, the Rector of the Church of St. Clement, and the Senior Warden and the Junior Warden of the Church of St. Clement shall be automatic voting members by nature of their office. The Head of School and Parent Council President are non-voting members of the Board.
Members of the Board serve for a term of three (3) years. Retiring members may be reelected for a second term of three (3) years upon the recommendation of the Nominating Committee. A member that has been elected to two (2) consecutive terms may not be reelected for another term until he or she has been off the Board for at least one (1) year.
What are the financial responsibilities of the Board?
The Board is the fiduciary agent for the school, making sure that funds are available for the operating budget, capital expenditures, building construction costs, and financial aid. The Board sets tuition, manages the Endowment Fund and oversees all fundraising activities of the school.
If I have a problem or concern, how can I make sure the Board hears it?
Problems or concerns about the school should be directed to the Head of School, who makes regular reports to the Board President and Board of Trustees.
How does an independent school board differ from a public school board?
A public school trustee runs for office and is elected to the board by the voters in their jurisdiction-A political process whereas the trustee is answerable to the voters. Trustees of an independent school like St. Clement's do not represent particular constituencies other than those addressed in the School's mission.
What is the relationship between the Church and the School?
The School is a non-profit, incorporated Parish Day School. The school exists to advance the educational mission of the Church. The Rector, as head of the St. Clement’s community, delegates the operation of the School to the Board of Trustees.
We are extremely thankful for the dedication, commitment and service of every member. If you have additional questions about the Board of Trustees, please contact the current President of the Board.
